Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Birthday Guy, LLC, a Colorado limited liability company doing business as “Structure” (“Structure,” “we,” “our,” or “us”), governing your use of our website, mobile apps, and related services (the “Service”). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy.

If you do not agree with any part of these Terms, do not use the Service.

You must be at least 13 years old (or the minimum age of digital consent in your country) to use Structure. By using the Service, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

You are responsible for the activity on your account and for keeping your sign-in credentials confidential. Structure uses one-time email codes, so please keep your inbox secure. Notify us at hello@s-t-r-u-c-t-u-r-e.com if you suspect your account has been compromised.

You can delete your account at any time. See Account Deletion.

Some features of Structure require a paid subscription. The price, billing frequency, and free-trial terms (if any) are displayed in the app before you confirm the purchase.

Apple App Store (iOS). Subscriptions purchased through the iOS app are billed to your Apple ID. Your subscription automatically renews at the end of each billing period unless you cancel at least 24 hours before the period ends. You can manage or cancel your subscription in Settings → [your name] → Subscriptions on your Apple device. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.

Web (Stripe). Subscriptions purchased on our website are billed through Stripe. They auto-renew on the same schedule and can be cancelled from your account settings.

Refunds. Refunds for App Store purchases are handled by Apple through reportaproblem.apple.com. Refunds for web purchases can be requested at hello@s-t-r-u-c-t-u-r-e.com and are granted at our discretion, in line with applicable law.

Price changes. We may change subscription prices with reasonable notice before the change takes effect. You may cancel before the new price applies.

Structure is built around the content you bring to it — your pantry, contacts, PDFs, notes, and progress (“Your Content”). You own Your Content. You grant Structure a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service for you.

You are responsible for Your Content, including ensuring you have the rights to upload and use it. Do not upload content that infringes intellectual property rights, contains malware, or violates applicable law.

You agree not to:

• Use the Service for anything illegal, harmful, or deceptive.
• Attempt to reverse engineer, decompile, or extract our source code or models.
• Circumvent rate limits, security controls, or authentication mechanisms.
• Use the Service to train competing AI models or to scrape at industrial scale.
• Resell or sublicense access to the Service without our written consent.

Structure, including its software, design, trademarks, and content (other than Your Content), is owned by us and protected by copyright, trademark, and other laws. We grant you a personal, non-transferable license to use the Service in accordance with these Terms — nothing more.

Structure is a productivity tool, not a medical, legal, or financial provider. Nutrition estimates, workout plans, and learning content are informational only and should not replace professional advice. Consult a qualified professional before making significant changes to your diet, training, or health.

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Structure and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim arising under these Terms is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50.

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if we discontinue the Service. On termination, sections that by their nature should survive (ownership, disclaimers, limitation of liability, dispute resolution) will survive.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Colorado, unless applicable consumer-protection law in your jurisdiction gives you the right to sue elsewhere.

We may update these Terms from time to time. If we make material changes, we will notify you before they take effect. Continued use of the Service after changes take effect means you accept the new Terms.
